Welcome to Serenite. These Terms of Service ("Terms") constitute a legally binding agreement between you and Serenite Labs LLC, a California limited liability company ("Serenite," "we," "us," or "our"). By creating an account, accessing, or using the Serenite mobile application ("App"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, you may not access or use the App.
1. Eligibility
To use Serenite, you must:
- (a) Be at least eighteen (18) years of age;
- (b) Be a resident of the United States;
- (c) Not have been previously suspended or banned from the platform.
By using the App, you represent and warrant that you meet all eligibility requirements. If you do not meet these requirements, you must not access or use the App.
2. Account Registration and Security
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to:
- (a) Provide accurate, current, and complete information during registration;
- (b) Maintain and update your information to keep it accurate and current;
- (c) Maintain only one account per person;
- (d) Notify us immediately of any unauthorized use of your account.
Serenite Labs LLC reserves the right to suspend or terminate any account that violates these Terms. If you register using a third-party authentication provider (Google or Apple), you are also bound by that provider's applicable terms of service.
3. The Platform — Not a Medical Service
Serenite is a social community platform designed to connect individuals in the sober and recovery community. Serenite is not a healthcare provider, medical service, treatment program, or clinical resource of any kind.
No content on Serenite constitutes medical advice. Sobriety tracking features are provided for personal and community use only. You should consult qualified healthcare professionals for any medical or mental health needs.
Serenite Labs LLC is not responsible for relapse, health outcomes, or any decisions made based on your use of the App. The App is not a substitute for professional addiction treatment, counseling, or any form of medical care.
4. User Conduct and Community Standards
You agree to treat all users with respect and dignity. The following conduct is strictly prohibited:
- (a) Harassment, bullying, intimidation, or threats of any kind;
- (b) Mocking, belittling, or undermining any individual's sobriety or recovery journey;
- (c) Impersonation of other users or any third party;
- (d) Spam, solicitation, or unsolicited commercial communications;
- (e) Sharing, distributing, or promoting illegal content;
- (f) Promoting substance use or glorifying drug or alcohol culture;
- (g) Attempting to sell, distribute, or facilitate access to controlled substances;
- (h) Using the platform for unauthorized commercial purposes.
Serenite Labs LLC reserves the right to remove any content and suspend or terminate any account at its sole discretion, with or without notice.
5. User-Generated Content
You retain ownership of all content you create and post on Serenite, including but not limited to photographs, messages, biographical information, sobriety stories, and event listings ("User Content").
By posting User Content, you grant Serenite Labs LLC a non-exclusive, royalty-free, worldwide, transferable, sublicensable license to use, display, reproduce, distribute, and store such content as reasonably necessary to operate, maintain, and improve the App.
You represent and warrant that you own or have the necessary rights to post any User Content you share and that such content does not infringe upon the rights of any third party.
Serenite Labs LLC does not endorse any User Content and is not responsible for its accuracy, completeness, or legality. User Content that violates these Terms may be removed without notice.
6. Reporting and Moderation
You may report other users for violations of these Terms, including but not limited to harassment, spam, inappropriate content, impersonation, and sobriety mockery. You may also block other users at any time.
Serenite Labs LLC will review reports in a timely manner but is not obligated to take any specific action or to disclose the basis for its moderation decisions. Filing false or abusive reports may result in the suspension or termination of your account.
7. Events
Users may create and attend events listed on the App. Event hosts are solely responsible for the accuracy of event details, the safety of attendees, and all conduct at their events.
Serenite Labs LLC does not organize, sponsor, endorse, or supervise any user-created events. Attendance at any event is at your own risk. Serenite Labs LLC shall not be liable for any incidents, injuries, losses, or disputes arising from or related to events.
8. Privacy
Your use of Serenite is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By accepting these Terms, you acknowledge that you have read and understood the Privacy Policy.
9. Intellectual Property
The Serenite name, logo, visual design, and all original content created by Serenite Labs LLC are the exclusive property of Serenite Labs LLC and are protected by applicable intellectual property laws.
You may not copy, modify, distribute, sell, lease, reverse-engineer, decompile, or create derivative works of any part of the App without prior written consent.
Any feedback, suggestions, or ideas you submit to Serenite Labs LLC may be used without any obligation or compensation to you.
10. Account Deletion and Termination
You may delete your account at any time through the App's Settings. Account deletion is permanent and irreversible. Upon deletion, all associated data will be removed, including your profile, photographs, messages, hosted events, and media files.
Serenite Labs LLC may suspend or terminate your account for violations of these Terms, at its sole discretion, with or without prior notice. Upon termination, your license to use the App is revoked immediately.
11. Indemnification
You agree to indemnify, defend, and hold harmless Serenite Labs LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- (a) Your use of the App;
- (b) User Content you create or post;
- (c) Events you host or attend;
- (d) Your violation of these Terms;
- (e) Your violation of any applicable law or the rights of any third party.
12. Disclaimers and Limitation of Liability
THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
SERENITE LABS LLC DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SERENITE LABS LLC SHALL NOT BE LIABLE FOR:
- (a) The actions, behavior, or content of any user;
- (b) Any harm resulting from interactions with other users, whether online or in person;
- (c) Loss of data or account information;
- (d) Any reliance on information provided through the App.
IN NO EVENT SHALL THE AGGREGATE LIABILITY OF SERENITE LABS LLC EXCEED THE AMOUNT YOU HAVE PAID TO SERENITE LABS LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SERENITE LABS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
13. Dispute Resolution and Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the App shall be resolved through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, except that either party may bring qualifying claims in small claims court.
YOU AGREE TO WAIVE YOUR RIGHT TO A JURY TRIAL AND YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS-WIDE ARBITRATION, OR ANY OTHER REPRESENTATIVE PROCEEDING.
This arbitration agreement is governed by the Federal Arbitration Act. All other aspects of these Terms and any disputes shall be governed by the laws of the State of California, without regard to its conflict of laws principles.
14. Changes to These Terms
Serenite Labs LLC reserves the right to modify these Terms at any time. We will notify you of material changes through the App and by updating the "Last Updated" date above.
Your continued use of the App after any changes constitutes acceptance of the revised Terms. If you do not agree with the updated Terms, your sole remedy is to discontinue use of the App and delete your account.
15. General Provisions
(a) Severability. If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
(b) Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Serenite Labs LLC regarding your use of the App, superseding any prior agreements.
(c) Assignment. Serenite Labs LLC may assign its rights and obligations under these Terms without your consent. You may not assign or transfer your rights or obligations under these Terms.
(d) Waiver. The failure of Serenite Labs LLC to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
(e) Force Majeure. Serenite Labs LLC shall not be liable for any failure or delay in performing its obligations due to events beyond its reasonable control, including but not limited to natural disasters, internet outages, government actions, pandemics, or acts of terrorism.
